Legal counsel and risk manager - commercial & technology

Deloitte Israel is seeking an experienced attorney with a strong business and technology orientation to join our Legal and Risk Management team as a Legal Counsel and Risk Manager – Commercial & Technology, serving as a key partner in supporting the firm’s business activities. This role involves advising on complex transactions and engagements, negotiating commercial agreements, and providing practical legal counsel and risk management guidance in a dynamic, innovative, and collaborative environment.

Key Responsibilities:

• Provide ongoing legal support for the firm's commercial and technology-related activities.
• Draft, review, and negotiate a wide range of commercial and technology agreements.
• Advise business units and key stakeholders on legal matters and risk management considerations.
• Identify business, legal, and regulatory risks and propose solutions that balance commercial objectives with legal, regulatory, and compliance requirements.
• Work closely with multiple stakeholders across the firm, as well as with business partners and external counsel in Israel and abroad.
• Support complex and strategic projects involving technology, cloud services, artificial intelligence (AI), and business collaborations.
• Provide legal support for mergers and acquisitions (M&A) transactions undertaken by the firm.

Qualifications and Experience

• Attorney-at-law qualified in Israel and a member of the Israel Bar Association.
• LL.B. degree from a recognized leading academic institution.
• An additional degree in Economics, Accounting, Business Administration, Technology, Information Systems, or a related field is a significant advantage.
• Approximately 3 to 5 years of experience at a leading commercial law firm in the commercial or high-tech sector and/or in the legal department of a technology company.
• Proven experience drafting, reviewing, and negotiating commercial and technology agreements, including services agreements, SaaS agreements, software licensing agreements, partnership agreements, supplier agreements, and customer agreements.
• Excellent English skills, including legal drafting and contract negotiation.
• Strong legal drafting and communication skills.
• Ability to manage multiple tasks simultaneously, prioritize effectively, and perform under pressure in a fast-paced environment.
• Ability to work independently while also being an effective team player.
• Strong business acumen, analytical capabilities, strategic thinking, creativity, attention to detail, and accuracy.
• Initiative, personal accountability, and the ability to lead processes and drive outcomes.
• Excellent interpersonal skills and a strong service orientation.
• Full proficiency in Microsoft Office applications (Word, PowerPoint, and Excel).
• Openness to innovation and the adoption of advanced technologies and AI tools in legal practice.

• מתן ייעוץ שוטף בסוגיות משפטיות ובהיבטי ניהול סיכונים ליחידות העסקיות ולגורמי מפתח בפירמה.
• זיהוי סיכונים עסקיים, משפטיים ורגולטוריים והצעת פתרונות המאזנים בין צורכי היחידות העסקיות לבין חשיפות משפטיות ורגולטוריות ודרישות ציות.
• עבודה שוטפת מול גורמים רבים בפירמה, שותפים עסקיים ויועצים חיצוניים בארץ ובחו״ל.
• ליווי פרויקטים מורכבים ואסטרטגיים של הפירמה בתחומי הטכנולוגיה, הענן, הבינה המלאכותית (AI) ושיתופי פעולה עסקיים.
• מתן ליווי משפטי לעסקאות מיזוגים ורכישות (M&A) המבוצעות על ידי הפירמה.

דרישות התפקיד:

• עורך/ת דין מוסמך/ת וחבר/ה בלשכת עורכי הדין בישראל.
• תואר ראשון במשפטים (LL.B) ממוסד אקדמי מוכר ומוביל.
• תואר נוסף בתחומי כלכלה, חשבונאות, מנהל עסקים, טכנולוגיה ומערכות מידע – יתרון משמעותי.
• כ־3–5 שנות ניסיון במשרד עורכי דין מסחרי מוביל בתחום המסחרי או ההייטק ו/או במחלקה משפטית של חברת טכנולוגיה.
• ניסיון מוכח בניסוח, סקירה וניהול משא ומתן על הסכמים מסחריים וטכנולוגיים, לרבות הסכמי שירותים, SaaS, רישוי תוכנה, שיתופי פעולה, ספקים ולקוחות.
• אנגלית ברמה גבוהה מאוד, לרבות כתיבה וניהול משא ומתן באנגלית.
• יכולת ניסוח משפטי גבוהה ויכולת התנסחות כללית ברמה גבוהה.
• יכולת לנהל מספר משימות במקביל, לתעדף משימות ולעבוד תחת לחץ ובסביבה דינמית.
• יכולת עבודה ולמידה עצמאית לצד עבודה בצוות.
• חשיבה עסקית, יכולת ניתוח גבוהה, ראייה הוליסטית וחשיבה יצירתית, לצד יכולת ירידה לפרטים ודיוק.
• יוזמה, אחריות אישית ויכולת להוביל תהליכים.
