About the Opportunity

Miller Johnson is seeking an associate to join our Corporate, Mergers & Acquisitions Practice Group in our Grand Rapids or Cincinnati offices. This is an excellent opportunity for an early-career attorney who is interested in building a sophisticated debt finance practice while working closely with experienced attorneys on a broad range of financing transactions.

The ideal candidate is a collaborative, detail-oriented attorney who enjoys transactional work and is eager to develop deep technical knowledge while building strong client relationships. What You'll Do

As an Associate within our Corporate, Mergers & Acquisitions Practice Group, you will:

• Represent borrowers, lenders, and investors in a variety of financing transactions.
• Assist with structuring, negotiating, and documenting debt financing and capital arrangements.
• Draft and review loan agreements, security agreements, financing documents, and other transaction materials.
• Conduct due diligence and assist with transaction closings.
• Collaborate with attorneys across the firm's corporate, real estate, and tax practices to efficiently execute transactions.
• Participate in client communications and develop a strong understanding of clients' business objectives and financing strategies.
• Support a broad range of financing transactions, including commercial lending, real estate financing, private placements, and acquisition financings.
• Develop practical, business-focused solutions to complex transactional matters while providing exceptional client service.
• Build strong internal and external relationships through collaboration, responsiveness, and attention to detail.

What You Bring

The successful candidate will bring strong analytical skills, sound judgment, and a genuine interest in transactional law. They are motivated to learn, thrive in a collaborative environment, and are committed to delivering exceptional client service. Qualifications include:

• Juris Doctor from an ABA-accredited law school.
• Admission to the applicable state bar or eligibility for admission in the jurisdiction where practicing.
• One to three years of experience in finance, corporate, or another related transactional practice preferred.
• Strong academic credentials and a demonstrated interest in transactional law.
• Excellent drafting, analytical, and organizational skills.
• Ability to manage multiple matters and deadlines in a fast-paced environment.
• Strong attention to detail and problem-solving abilities.
• Excellent written and verbal communication skills.
• A collaborative, client-service-oriented mindset and a desire to build long-term client relationships.
