Job Description

TBC Asset Management (AMC) is seeking a team member for the position of Lawyer. The position actively participates in the development, registration, and management of new investment products and funds by assessing legal risks and preparing the relevant documentation.

The role provides legal support to the investment function, including the preparation and updating of syndication agreements and related documentation, maintaining relevant registers, and supporting the investment team in ensuring legally sound communication and document drafting.

Responsibilities

• Providing legal support for the Company’s business activities.
• Drafting, reviewing, and providing legal assessment of contracts, agreements, memoranda, articles of association, and other legal documents.
• Analyzing legal matters related to investment funds, asset management, and financial products.
• Participating in the establishment and registration of new funds and investment products.
• Preparing and providing legal review of syndication agreements, investment-related agreements, and their respective annexes.
• Preparing documentation related to amendments and termination of agreements.
• Maintaining and updating relevant legal registers.
• Participating in communication with counterparties and ensuring the legally accurate formulation of communications and documents.
• Participating in the development and updating of the Company’s internal policies, procedures, and legal documentation.
• Managing corporate law matters, including maintaining and updating the Company’s corporate documentation.
• Identifying legal risks related to the Company’s activities and preparing recommendations to mitigate such risks.
• Coordinating relationships with external legal advisors and consultants.
• Participating in litigation and dispute management processes, when required.
• Providing employees with legal advice and guidance on relevant legal matters.
• Providing legal assessment and support for business initiatives and projects.

Qualifications

• Bachelor’s degree in Law.
• A Master’s degree in Law is preferred.
• At least 2–3 years of professional experience in legal support, corporate law, or legal services within the financial sector.
• Knowledge of Georgian corporate, civil, and financial sector regulatory legislation.
• Knowledge of Georgian securities market and investment funds legislation will be considered a significant advantage.
• Ability to conduct legal research and prepare legal opinions.
• Strong contract drafting and legal analysis skills.
• Good knowledge of corporate and commercial law.
• Ability to analyze and interpret regulatory acts.
• Knowledge of English language.
• Proficiency in using Microsoft Office applications.
• Knowledge of regulatory requirements, legislation, and investment policies.
