Job Description

Company Description

Are you an experienced legal professional who enjoys working across jurisdictions and helping teams navigate complex legal matters? Do you bring a practical, solution-oriented approach to managing risk and enabling global business objectives?

As Legal Counsel M&A, you'll support Red Bull’s cross-functional M&A team in the preparation, execution, and implementation of domestic and international M&A transactions across the Red Bull Group, with a particular focus on projects in the sports sector, Red Bull’s strategic growth and expansion initiatives, the start-up sector, as well as internal corporate restructurings.

Working closely with internal stakeholders and external advisors, you'll assist throughout the entire M&A transaction lifecycle, including drafting various agreements such as letters of intent, confidentiality agreements, and transaction documents; conducting due diligence; and supporting the signing and closing process, as well as taking care of post-closing matters.

The position as Legal Counsel M&A offers broad exposure to complex projects and provides an opportunity to assume responsibility for specific workstreams.

Job Description

LEGAL ADVICE

You’ll provide practical and pragmatic legal advice to internal stakeholders in a transactional context while also providing legal support in relation to selected commercial agreements. You’ll translate commercial ideas and strategic measures into binding agreements, ensuring that legal solutions support the business objectives while protecting the interests of Red Bull.

You’ll also monitor relevant legal and regulatory developments and provide guidance on corporate, commercial and M&A-related matters across multiple jurisdictions.

CONTRACT MANAGEMENT

You’ll draft, review and negotiate a wide range of transaction documents, including non-disclosure agreements, letters of intent, term sheets, share and asset purchase agreements, transitional services agreements and other ancillary documents.

You’ll ensure that contractual terms reflect the intended commercial arrangements, comply with applicable legal requirements and appropriately protect the interests of Red Bull throughout the transaction process.

RISK MANAGEMENT

You’ll support buy-side and sell-side due diligence processes by reviewing the content of the data room, collecting information and coordinating with relevant functions across the organization. You’ll assess key findings and take them into account when drafting and negotiating transaction documents.

You’ll identify potential legal and transactional risks, develop pragmatic mitigation strategies and support the implementation of appropriate measures and processes.

GLOBAL PROJECTS

You’ll support the preparation, execution and implementation of domestic and international M&A transactions across the Red Bull Group, particularly in connection with sports-related projects, strategic growth and expansion initiatives, start-ups and internal corporate restructurings.

Throughout the transaction lifecycle, you’ll contribute to due diligence, signing, closing and post-closing activities while taking ownership of individual workstreams.

You’ll also contribute to the team’s role as a centre of expertise for M&A by developing and maintaining internal know-how, establishing effective processes and providing transaction-related guidance to internal stakeholders.

STAKEHOLDER COLLABORATION

You’ll coordinate closely with internal functions such as Finance, Tax, HR and Business to ensure a coherent transaction process and a consistent approach across all workstreams. As a key point of contact for transactional matters, you’ll manage internal workstreams and collaborate with external legal advisors by providing clear instructions, concise feedback and effective coordination.
