Job Description

As a Senior Transaction Management Officer, you will be the go-to negotiator behind the deals that establish Citi's trading and banking relationships with institutional clients worldwide. Sitting within Citi's Legal Function in a non-attorney capacity, you will own the negotiation, documentation, and execution of complex business transactions from first draft to final signature. This is an opportunity to apply deep contract expertise to high-stakes negotiations while advising senior stakeholders across the business.

Responsibilities

  • Negotiate, draft, and review contracts and documentation that establish Citi's trading, banking, and transaction relationships.
  • Lead complex contract negotiations through to efficient, timely resolution.
  • Partner with institutional clients, external counsel, and Citi's legal, risk, and business teams during every negotiation.
  • Serve as the primary contact for contractual documentation questions raised by business teams and clients.
  • Keep detailed negotiation records and follow up proactively with unresponsive counterparties.
  • Manage projects that implement new regulations, streamline processes, or support new product launches.
  • Monitor regulatory and legal developments to keep documentation practices current and compliant.
  • Advise risk and business partners on documentation requirements specific to each product and jurisdiction.

Required Qualifications & Skills

  • 6-10 years of experience in transaction management, contract negotiation, or documentation within a large institutional setting.
  • A proven ability to manage complex documentation with precision and meet tight deadlines consistently.
  • Excellent interpersonal and project management skills, with the ability to communicate effectively with senior management.
  • In-depth knowledge of legal customs and practices across the financial services industry.
  • Proficiency in Microsoft Word, PowerPoint, Excel, and Outlook.
  • Experience with complex corporate structures, including hedge funds, third-party lender arrangements, special purpose vehicles, and mutual funds.
  • A bachelor’s degree or equivalent experience.

Beneficial Skills & Qualifications

  • Experience working in an in-house legal role within financial services.
  • A master’s degree.
